PPL Boards and Committees
The PPL Board
The PPL Board oversees all aspects of PPL business, including costs, revenues, licensing and operational policies. The board has up to 17 directors, representing major and independent record companies and the performer community.
It’s supported by three committees – the Finance & Audit Committee, Distribution Committee and Remuneration Committee.
The PPL Board is accountable to members through the Annual General Meeting (AGM), at which directors are elected and eligible members can vote on key matters.
Any person may stand for election to the office of director by giving notice of nomination, supported by two or more members representing at least 0.2% of the company’s voting share. Nominees must receive board approval. For more details, refer to the PPL Articles of Association.

PPL Board Committees
The PPL Board Committees support governance across three key areas:
- Finance & Audit Committee: Reviews PPL revenue and costs budget, prior to ratification by the PPL Board and to monitor progress throughout the year. It oversees internal and external audit activities, including the annual audit of PPL financial statements.
- Distribution Committee: Reviews and approves proposed revenue distributions to PPL members, along with the rules and processes behind them.
- Remuneration Committee: Reviews executive remuneration. This committee is composed entirely of PPL Board directors.
Each committee includes representatives from major and independent record companies, as well as performers. Some committee members are PPL Board Directors, while others bring specific expertise in areas like finance. The PPL Board defines the structure and membership of each committee to ensure effective governance.
The Performer Board
The Performer Board is a specialist sub-committee of the PPL Board, focused on performer-related aspects of PPL work. It consists of six performer directors, elected by PPL performer members, and two additional PPL Board directors.
Elections for performer directors are held at the Annual Performer Meeting and all such performer directors will also form part of the PPL Board.
To ensure broad representation, the PPL Articles of Association require that at least two performer directors are representatives of or associated predominantly with non-featured performers and at least two are representatives of or associated predominantly with featured performers. The specific criteria for election are outlined in the PPL Articles of Association
